Terms of Reference (TOR) for

"Supervision Consulting Services"

     For "Samawah Roads and Bridges Construction Project"

    1       SCOPE OF WORKS FOR CONSULTING SERVICES

The work shall be accomplished in three phases:

Phase I – Review of Detailed Design and Preparation of Tender Documents for three Bridges

Phase II – Tender Assistance for three Bridges

Phase III – Construction Supervision for three Bridges

The work for the Training Program shall be included in the scope of works for consulting services.

All the services to be done by consultant must be supervised by SCRB and all instructions to the contractor to be through the resident engineer

2       DETAILED CONSULTING SERVICES

2.1              Review of the Detailed Design and Preparation of Tender Documents for     three Bridges

1)         The consultant shall carry out the review of the current detailed engineering design done by SCRB.

a)         Review of road alignment

b)         Review of earthwork including pavement

c)         Review of bridges design

d)         Review of river bank slope if required.

e)         Review of road facilities including traffic signal, street lighting systems, etc.

f)          Review of utilities relocation, protection

2)         Cost estimate of the Project shall be prepared based on the detailed design, including:

a)         Unit price survey and analysis classified into local labor, materials, equipment, tax, tariff overhead.

b)         Breakdown of foreign and local portion

c)         Financing schedule (annual fund requirement according to the construction schedule)

3)         Preparation of Implementation Program

The consultant shall prepare a reasonable construction program from the engineering point of view.

4)         Preparation of Prequalification documents and bidding documents

The bid documents shall be prepared for international bidding. The Consultant shall supply fifteen (15) copies of documents which shall include the following:

a)         Introduction to bidders

b)         Form of contract

c)         General Conditions of Contract

d)         Special Provisions of Contract

e)         Technical Specification

f)         Plans

g)         Bill of Quantities

i)          Tender Documents for international bidding for materials/equipment to be procured from abroad, if necessary

2.2              Tender Assistance

The Consultant shall assist SCRB with call for prequalification, prequalification evaluation, dealing with queries during the tender period, tender evaluation and preparation of an evaluation report, and preparation of necessary documents for awarding contracts.

After the Contract has been awarded to the successful Contractor, the Consultant for each construction project shall supply six (6) copies of the Contract to SCRB.

2.3              Construction Supervision

The services shall cover:

1)         Construction Supervision Services, and

2)         Post-construction Services (Maintenance Period)

The services by the consultant to be provided shall include, but not be limited to, undertaking of the tasks described below.

Construction Supervision Services

1)      Conduct correspondence with the Contractor on matters within delegated authority.

2)      Advice correspondence outside delegated authority for signature by the Client.

3)      Prepare agenda for, and conduct pre-construction meeting, prepare minutes and carry out necessary follow-up activities.

4)      Chair monthly progress meetings, prepare minutes and carry out necessary follow-up activities.

5)      Review and advise the Client on the suitability of the Contractor’s insurance policies and conformance with the Contract Requirements.

6)      Review Contractor’s administrative and technical submittals as required by the Specifications.

7)      Review Contractor’s project work schedule or revisions thereto and any such plans or programs that the Contractor is obliged to furnish for the Client's approval.

8)      Review Contractor’s Quality Assurance Program and monitor performance.

9)      Review Contractor’s Temporary Works proposals and designs for acceptability.

10)   Review Contractor’s work methods of works in relation to the required work rate of progress of the work. When required, take appropriate action in order to expedite the work progress.

11)   Review Contractor's work methods and Site Safety control system for safety and conformance with the Specifications.

12)   Review the Contractor’s arrangements for the protection of all traffic management and recommend acceptance or otherwise to the Client.

13)   Review, monitor, and inspect, the Contractor’s procurement, storage, and transportation, of major imported and local materials and plant, for progress and conformance with contractual requirements.

14)   Review Contractor’s setting-out and benchmark values.

15)   Monitor settlement records and advise the Client of recommendations.

16)   Watch, monitor and inspect work in progress to ensure materials used and workmanship employed are in conformance with approved drawings and the specifications.

17)   Monitor materials testing and review test results at site and other tests submitted by the Contractor.  Witness special tests including load or any other tests performed by the Contractor.

18)   Instruct the Contractor on unsatisfactory and unacceptable performance and obtain satisfactory rectification.

19)   Review and recommend to the Client for acceptance alternative work solutions proposed by the Contractor that conform to the design criteria and comply with the Specifications and are technically acceptable and beneficial to the Client.

20)   Review and recommend acceptance or otherwise comment to the offered designs changes for conformity with the design criteria and Specifications.

21)   Measurement of work performed for Certification for Payment.

22)   Check Contractor’s invoices for Certification by the Client.

23)   Advise the Client on the use of Provisional Sums.

24)   Consult with the Client and prepare specifications, drawings, etc. to enable the Client to issue Variation Orders.

25)   Advise the Client on any claim or contractual matter arising from the Contract.

26)   Advise the Client on matters relating to the issue of Partial Certificates of Completion, and hand-over of work by stages.

27)   Witness final testing as required by the Specifications.

28)   Attend and advise the Client during Completion Inspections.

29)   Investigate failures and accidents occurring on-site or to the Works and advise the Client of conclusions.

30)   Provide monthly reports of the Contractor's and Consultant's activities.

31)   Review the Contractor’s environmental management plan including an environmental monitoring program through construction, post-construction period.

32)   Review the result of the environment monitoring and recommend to the Client to take necessary countermeasures.

33)   Assist the Client to prepare an environmental monitoring plan for the operational phase of the project.

Post-Construction Services (Maintenance Period)

1)      To prepare and submit to the Client a Contract Report on the construction Contract.

2)      To assemble and catalogue “As-Built” drawings and hand-over to the Client.

3)      To collect and index Contract Files and Records and hand-over to the Client.

4)      To advise the Client on any claim and any contractual matter arising during the Defects Liability period (maintenance period) for the contractor.

5)      To advise the Client on any damage and failure of the design during Defects Liability period (maintenance period).

6)      To prepare and submit a report on the defects occurring during the Liability Period.

2.4 Training Program

1) To examine the details of the overseas training program such as selection criteria of the candidate trainee, expected contents of the training course

2)           To arrange and coordinate the overseas training program to be implemented in Japan (up to 15 official in total)

3       GENERAL REQUIREMENTS

3.2              Consultant's Staff

The Consultant shall maintain a fully operational project office adequately staffed by professional and support personnel for the period of the agreement.

4       RESPONSIBILITY OF THE CLIENT

1)      The Government shall complete Detail Design for three Bridges by the time of contract.

2)      The Ministry will nominate counterpart staff to act as Ministry Representatives responsible for the technical and administrative aspects of the project.

3)      The Client will be responsible for the salaries, wages, allowances and other incidental expenses of its personnel in PIU involved in the administration of the Project.

4)      The Ministry where possible may assist the Consultant to obtain data and technical support for use in the performance of the work under this Agreement.

For the Audit of

The Emergency Roads Rehabilitation Project – PART A

Project Background

1.                   The Objective of the proposed Emergency Road Rehabilitation Project (ERRP) is to improve the condition of road assets by rehabilitating highly damaged segments of the country’s highway and rural road network, reestablishing critical river crossings, and restoring the capacity to manage and maintain road assets.  This would contribute to the country’s economic and social recovery.

2.                   The ERRP consists of two Parts: Part A, which covers the 15 central and southern Governorates; and Part B, which focuses on sub-projects in the three Governorates of the Kurdistan Regional Government (KRG). The total amount of the Credit is US$135,000,0000. There will be only one Financing Credit Agreement between the Bank and the Government of Iraq.  While, the State Commission for Roads and Bridges (SCRB) will be responsible for implementing Part A, Kurdistan Regional Government, General Directorate for Roads and Bridges (GDRB) will be responsible for implementing Part B. The project will be implemented over a period of 4 years.

3.                   This TOR covers the audit services needed for Part A only.

4.                   Part A - Project Components for the 15 Central and Southern Governorates (estimated total amount of US$90,000,000) are:

□              Component A.1: Highway Pilot Rehabilitation Program. (estimated total amount of US$49.700,000)

□              Component A.2:  Village Access Roads Pilot Program. (estimated total amount of US$20.960,000)

□              Component A.3:  Bridge Replacements Pilot Program. (estimated total amount of US$15.720,000)

□              Component A.4:  Road Asset Management and Road Rehabilitation Programming. (estimated total amount of US$1.850,000)

□              Component A.5: Project Management. (estimated total amount of US$1.770,000)

5.       Part A will be implemented by the SCRB through a Project Management Teams (PMT) reporting directly to the Minister, with experienced staff seconded on a full-time basis from existing technical and financial units, and in close cooperation with Ministry of Finance (MOF) and Ministry of Planning and Development Coordination (MOPDC). The legally binding terms and conditions of the Credit are in the legal Agreement no 42120 IQ. The Project’s Technical Annex report (Report noT7665 IQ) is also a useful source of information.

6.       The ERRP Credit will finance civil works, goods, consulting services, technical assistance, and operating expenses as incurred by the SCRB. Total number of works contracts is approximately 35 ranging from US$1.0to US$5.0milion. The goods contracts are approximately 3 contracts, ranging from US$0.1 to US$0.5milion the consulting contracts are approximately 5 ranging from US$0
